All services we provide, including but not limited to online games, interactive applications, official websites, community platforms, software development kits (SDKs), application programming interfaces (APIs), and all related digital content and support services (collectively, the "Services"), form a vast domain where we hope to inspire creativity, foster collaboration, and build meaningful connections.

This "Terms of Service and Code of Conduct" (hereinafter "these Terms") is the cornerstone of the relationship between you and us. If you object to any part of these Terms, or if you cannot commit to fulfilling the responsibilities enumerated herein, your sole and proper recourse is to immediately cease all forms of use of the Services.

Chapter 1: Establishment, Scope, and Evolution of the Agreement

1.1. Parties and Legal Effect: These Terms constitute a legally binding agreement between you, as an individual user, and FUNVERSE STUDIOS LTD., with its registered address at 5307 Victoria Drive, Suite 851, Vancouver, BC V5P 3V6 CANADA. The effect of this agreement covers all current and future products and services under the Funverse brand, unless a specific service expressly states that it is governed by its own separate, dedicated terms. In such cases, those separate terms will take precedence, and these Terms will apply supplementally.

1.2. User Eligibility and Guardian Responsibility: You hereby represent and warrant that you have reached the legal age of majority in your jurisdiction of residence to independently enter into a legally binding contract. If you are a minor, you must review these Terms with your parent or legal guardian. Your use of the Services shall be deemed as confirmation that your guardian has read, fully understood, and agreed to all provisions of these Terms on your behalf, and that they agree to take full responsibility for your compliance with these Terms, including guaranteeing any financial responsibilities you may incur (if applicable). Without such valid guardian consent, you may not create an account or use the Services.

1.3. Dynamic Revision of Terms: The digital world is in constant flux, as are laws, technical standards, and community norms. Therefore, we reserve the right, at our sole discretion, to revise, supplement, or replace any part of these Terms at any time, based on operational needs, changes in applicable laws, security protocol upgrades, or to enhance the user experience.

1.4. Notification Mechanism for Changes: When we make what we consider to be a "material" change to these Terms (materiality determined at our sole discretion), we will use commercially reasonable efforts to provide you with advance notice through one or more methods we deem effective. These methods may include, but are not limited to: posting an announcement on our official website or in a prominent location within the Services; sending a push notification through our applications; or sending a notification email to the contact email address you provided during account registration. It is your responsibility to keep your contact information up-to-date and to periodically check our official announcements.

1.5. Implied Acceptance of Changes: All revised terms will become effective on a future date specified in the notification. Your continued use of the Services after that effective date (e.g., logging into your account, participating in activities) will constitute your acceptance of the updated Terms and your agreement to be bound by them. If you do not agree with the new terms, you must cease using the Services before the effective date and may terminate your account as guided by Chapter 7 of these Terms. This is your sole recourse for disagreeing with changes to the Terms.

Chapter 2: Framework of Core Concepts and Definitions

The Services: An all-encompassing term referring to the entirety of digital products and experiences designed, developed, operated, and maintained by FUNVERSE STUDIOS LTD. Its specific scope includes, but is not limited to: (a) any downloadable or cloud-based online games and mobile applications; (b) all official websites, sub-sites, and developer portals under the Funverse brand; (c) officially operated community forums, social media groups, and chat servers (e.g., Discord); (d) customer support systems, ticketing platforms, and related help documentation; (e) any software development kits (SDKs) or application programming interfaces (APIs) provided to third-party developers; (f) all software, code, updates, patches, and fixes embedded within the foregoing services; and (g) all related Digital Content and Virtual Items.

Account: Your personalized digital credential created to access and use most core features of the Services. Your Account is your "digital passport" within the Funverse ecosystem; it is not only a key for logging in but also a dynamic container for securely recording your personal settings, game progress, achievement history, friends list, and the licenses for Virtual Items and content you have lawfully acquired.

Virtual Items: Refers to various non-physical, digital elements controlled and provided by us within the environment of the Services to enrich the user experience. The legal nature of these items is a limited, non-exclusive, non-transferable, revocable license to use a software feature, not a transfer of property ownership of any kind.

Funverse Content: Refers to all data, materials, and intellectual property that constitute the Services, excluding User-Generated Content (UGC). This includes, but is not limited to: the source and object code of the Services, technical architecture, server-side logic, game engines, visual interface design (UI/UX), story background, world-building, designs and names of characters, creatures, locations, and items, artwork, graphics, animations, sound effects, background music, dialogue text, trademarks, logos, and the overall "trade dress" and "look and feel" of the Services.

User-Generated Content (UGC): Refers to any information and materials created, uploaded, posted, transmitted, or otherwise made available within the Services by you or other users, not by Funverse. The scope of UGC is very broad, including but not limited to: your account nickname, avatar, and personal signature; text, images, and emojis sent in forums, chat channels, or in-game; guild names, emblems, and announcements you create; and any form of feedback or suggestions you submit to us.

Chapter 3: Your Digital Identity: Account Creation, Security, and Management

3.1. Principle of Integrity in Account Creation: During the account creation process, you must provide true, accurate, complete, and current personal information. It is strictly prohibited to use any form of false identity, impersonate any other person or entity (whether natural or legal), or provide misleading information to register an account. Each account should correspond to a unique, real individual.

3.2. Confidentiality of Passwords and Credentials: Your account security is your paramount responsibility. You bear absolute and exclusive responsibility for maintaining the confidentiality of your login credentials. We strongly recommend and require that you create a sufficiently long and complex password, do not reuse it on other services, and enable Two-Factor Authentication (2FA) where offered. Remain vigilant against any requests for your password claiming to be from Funverse officials; we will never ask for it.

3.3. Responsibility for Account Activity: You expressly agree that any activity conducted through your account credentials will be presumed by law and these Terms to be your own actions, regardless of whether such activity was actually authorized by you. You will be held fully liable for any losses or damages resulting from your failure to properly secure your account, password leaks, or granting access to your account to others.

3.4. Non-Transferability of Accounts: Your Funverse Account is personalized for you and represents your unique journey within the Services. Therefore, it is strictly forbidden to transfer, share, or trade your Account in any way (including but not limited to selling, purchasing, lending, or gifting). Any such attempt will be null and void and constitutes a serious breach of these Terms, which may result in the immediate and permanent termination of your Account.

3.5. Dormant Account Policy: To optimize server resources and manage the pool of usernames, we reserve the right to take administrative action on accounts that are inactive for an extended period. If we define an account as "dormant" (e.g., for 180 consecutive days or more with no login activity), we may, without further notice, take measures including temporarily freezing the account, resetting the account name, or ultimately deleting the account and all its associated data.

Chapter 4: Community Ecosystem and Code of Conduct

Funverse is committed to being a space that inspires creativity and encourages healthy interaction. Every user is a builder and guardian of this ecosystem. Your behavior directly impacts the experience of everyone.

  1. Strictly Prohibited Destructive Conduct (Zero-Tolerance List)

No user may use the Services to engage in any of the following behaviors. Violating these rules will be considered a serious breach, and we will take the most severe measures.

Hate, Harassment, and Personal Attacks:

  • Posting or disseminating any speech that promotes hatred, discrimination, or violence.
  • Engaging in "doxing" (unauthorized disclosure of another's private information).
  • Committing persistent, malicious, and unwelcome harassment, bullying, stalking, or threats.
  • Posting any form of obscene, pornographic, or deeply offensive content.

Fraud and Unfair Play:

  • No Cheating: Using, developing, or distributing any cheats, automation software (bots), hacks, or other unauthorized third-party software.
  • No Exploiting: Actively exploiting any design flaws, bugs, or other unintended issues for personal gain. You must report them to us immediately.
  • No Illegitimate Account Services: Participating in or promoting account boosting, sharing, or any other activity designed to artificially manipulate game progression.

Impersonation and Disinformation:

  • Impersonating any Funverse employee, administrator, or official representative.
  • Knowingly creating or spreading rumors, false information, or engaging in fraudulent activity.

Infringement of Intellectual Property and Proprietary Information:

  • Uploading, sharing, or using any content that infringes upon a third party's copyright, trademark, or other intellectual property rights.
  • Attempting to reverse engineer, decompile, or otherwise extract the source code or proprietary data from our Services.

Prohibited Commercial Activities:

  • No Real-Money Trading (RMT): Engaging in any form of transaction involving real-world value for your Account, Virtual Items, or any other in-service elements.
  • Using the Services for unauthorized commercial advertisements or solicitations.

Disruption of Service Infrastructure:

  • Launching any form of attack on our servers or network, including DDoS attacks.
  • Engaging in any activity that could impose an unreasonable load on or otherwise disrupt the normal operation of the Services.
  1. Enforcement and Adjudication of Violations

We reserve the absolute right to determine, in our sole discretion, whether a user's conduct violates these Terms. Our enforcement measures will be based on the nature and severity of the violation, whether it is a first offense, and the degree of harm caused to the community. Possible measures include, but are not limited to: content removal, feature restrictions (e.g., chat bans), virtual item penalties, account suspension, or permanent account termination. In taking such actions, we are under no obligation to provide any form of refund or compensation.

Chapter 5: Intellectual Property Ownership and Licensing Framework

5.1. Funverse's Proprietary Rights: You acknowledge and agree that the Services and all "Funverse Content" contained therein are and will remain the exclusive property of FUNVERSE STUDIOS LTD. and its licensors. These Terms do not sell or assign to you any interest in the Services or Funverse Content. We grant you nothing more than a personal, limited, non-exclusive, non-transferable, and fully revocable license to access and use the Services for your personal, non-commercial entertainment purposes.

5.2. Your License Grant for UGC: You retain your original ownership rights in the UGC you create. However, by submitting or posting UGC on the Services, you grant Funverse a worldwide, non-exclusive, royalty-free, perpetual, and irrevocable right to use, host, display, modify, distribute, and create derivative works from your UGC for the purposes of operating, promoting, and improving the Services. This license survives the termination of your account.

5.3. Your Representations and Warranties for UGC: You are solely responsible for all of your UGC. You represent and warrant to us that you own or have all necessary rights to your UGC and that its use by us in accordance with these Terms does not infringe upon any third party's rights.

5.4. Ownership of Feedback and Suggestions: Any unsolicited feedback, ideas, or suggestions you provide to us will be treated as non-confidential and non-proprietary. You hereby irrevocably assign to us all right, title, and interest in such feedback, and we shall have no obligation of any kind to you, including for acknowledgment or compensation.

Chapter 6: In-Depth Analysis of Virtual Items

6.1. Reaffirmation of Legal Nature: You must understand and accept that "Virtual Items" are licensed features of the software, not personal property. They have no real-world value independent of the Services. What you acquire is a license to use these features, not the items themselves.

6.2. Exclusivity of Acquisition Channels: The only legitimate way to acquire a license for Virtual Items is through the officially recognized channels provided within the Services.

6.3. Our Right of Dynamic Management: We reserve the absolute right to manage, regulate, modify, or eliminate all Virtual Items at our sole discretion, without any liability to you. This includes changing their properties or availability.

6.4. Closed-Loop Value and Non-Redeemability: Virtual Items can never be redeemed for any form of real-world currency, goods, or services.

6.5. Consequences of Account Termination: When your Account is terminated for any reason, the license for all Virtual Items in your Account will immediately and automatically terminate. You will not receive any form of refund or compensation.

Chapter 7: Service Lifecycle: Modification, Interruption, and Termination

7.1. Termination by You: You have the absolute freedom to terminate this agreement and cease using the Services at any time. You can initiate this process through the account deletion feature or by contacting customer support. Please be aware that account deletion is a permanent and irreversible action.

7.2. Termination by Us: We have the right, at our sole discretion, to immediately suspend or permanently terminate your Account if you commit a serious or repeated breach of these Terms, or if your actions pose a risk to Funverse, our Services, or other users.

7.3. Evolution, Suspension, or Discontinuation of Services: We reserve the right, at any time, to modify, suspend, or discontinue parts or all of the Services for any business or technical reason. For planned material changes, we will use commercially reasonable efforts to provide advance notice where feasible.

Chapter 8: Disclaimers and Limitation of Liability

8.1. "AS IS" and "AS AVAILABLE" Basis: To the maximum extent permitted by applicable law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind. We do not warrant that: (a) the Services will always be secure, uninterrupted, or error-free; (b) the Services will be compatible with all of your hardware or software; (c) any errors will be corrected; or (d) the Services will meet your personal expectations.

8.2. Disclaimer Regarding Third-Party Content and Links: The Services may contain links to third-party websites or content. We do not endorse and are not responsible for any third-party content. Your use of any third-party services is at your own risk.

8.3. Limitation of Liability: To the fullest extent permitted by law, in no event shall FUNVERSE STUDIOS LTD. or its affiliates be liable for any indirect, incidental, special, or consequential damages arising from or in connection with these Terms or your use of the Services. Our total aggregate liability to you for any and all claims will not exceed the greater of: (a) the total amount you have paid to us for the specific Service in the six (6) months preceding the claim (if any); or (b) one hundred Canadian dollars ($100.00 CAD).

Chapter 9: Dispute Resolution and Governing Principles

9.1. Stage 1: Informal Negotiation: Before initiating any formal legal action, you and we agree to first attempt to resolve any Dispute through informal, good-faith negotiation. You shall send a written "Notice of Dispute" to us via the contact information below.

9.2. Stage 2: Binding Individual Arbitration: If informal negotiations fail to resolve the Dispute, you and we agree that the Dispute shall be resolved exclusively through final and binding arbitration, not in a court of law. The arbitration will be conducted by a single, neutral arbitrator.

9.3. Class Action Waiver: YOU AND WE EXPRESSLY AGREE THAT ANY AND ALL DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE YOUR RIGHT TO FILE, JOIN, OR PARTICIPATE IN ANY FORM OF CLASS ACTION OR CLASS ARBITRATION.

9.4. Governing Principles: These Terms shall be governed by and construed in accordance with universally recognized principles of international commerce and good faith, without resorting to the conflict of laws rules of any specific jurisdiction.

Chapter 10: Miscellaneous (General Legal Provisions)

10.1. Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and Funverse regarding the Services and supersede all prior agreements.

10.2. Severability: If any provision of these Terms is found to be illegal or unenforceable, that provision will be severed, and the remaining provisions will continue in full force and effect.

10.3. No Waiver: Our failure to exercise any right under these Terms shall not be deemed a waiver of that right.

10.4. Assignment: You may not assign your rights under these Terms without our prior written consent. We reserve the right to assign our rights and obligations at any time.

10.5. Force Majeure: We shall not be liable for any failure to perform due to causes beyond our reasonable control, including acts of God, war, pandemics, or large-scale network failures.

10.6. Headings and Interpretation: The headings in these Terms are for convenience only and have no legal effect. The word "including" shall be construed to mean "including but not limited to."
